StrategyX Services Agreement

This is a Consulting Services Agreement ("Agreement") between StrategyX Consulting LLC ("Consultant") and the "Client," governing all consulting services provided by Consultant.

By booking a consultation or engaging Consultant’s services, Client acknowledges and agrees to the terms outlined below.

1. Scope of Services

Consultant will provide strategic consulting services in areas such as lead generation, business growth strategy, outreach optimization, and related advisory work. Consultant will guide the Client in best practices, tools, and strategies, but execution remains the Client’s responsibility unless otherwise agreed.

The Consultant’s role is to provide recommendations and expertise based on industry knowledge, experience, and best practices, ensuring Client has a structured and effective approach to growth.

2. Services Not Provided

Consultant is not providing legal, financial, accounting, or regulatory advice. Any business decisions made by the Client are solely their responsibility. Consultant’s role is advisory, and Client acknowledges that results may vary based on execution and market conditions.

3. Independent Contractor Relationship

Consultant is an independent contractor and not an employee, agent, or legal representative of the Client. Consultant has full discretion over how services are delivered within the agreed scope.

4. Payment Terms & Refund Policy

• All payments are due in full before the first session begins.

• Payments are non-refundable once work has started, except where otherwise specified.

• Consultant offers a Risk-Free Guarantee: If the Client is not satisfied by the end of the first session, Consultant will issue a full refund. After the first session, no refunds will be issued.

5. Confidentiality

Consultant and Client may share confidential business information as part of the engagement. Both parties agree to maintain confidentiality and not disclose any proprietary information to third parties.

Confidentiality does not apply to information that:

• Is publicly available.

• Was already known prior to this Agreement.

• Must be disclosed due to legal obligations.

Consultant is not responsible for securing or protecting Client’s own business data, outreach tools, or any external accounts used as part of consulting recommendations.

6. Limitation of Liability

Client acknowledges that business growth and outreach results cannot be guaranteed and depend on multiple factors, including execution.

• Consultant is not liable for lost profits, missed opportunities, or business outcomes.

• Any liability under this Agreement shall not exceed the total fees paid by the Client for the services rendered.

Client agrees to indemnify and hold Consultant harmless from any claims arising from the use or misinterpretation of consulting advice.

7. Termination of Services

Either party may terminate this Agreement in writing if services have not yet begun. Once work has started, no refunds will be issued, except under the initial Risk-Free Guarantee.

8. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Michigan. Any disputes shall be resolved through mediation before legal action is taken.

9. Acceptance of Terms

By booking a session, Client agrees to the terms outlined in this Agreement. No additional signatures are required, as acceptance is confirmed through payment and booking.
